Terms of Service

These Terms of Service ("Terms") govern the use of CRMEX, a customer relationship management (CRM) software operated by Nweb ("we", "us", "our"). By using the CRMEX software, in its self-hosted or hosted modality, you agree to these Terms and to the Privacy Notice, which forms an integral part of this agreement.
1. Service description
CRMEX is offered in two modalities: (a) Self-Hosted, where you download and install the software on your own infrastructure; and (b) Hosted, where we operate the software for you on Nweb infrastructure, accessible at app.crmex.mx. Each party’s obligations vary by modality, so it is worth identifying which one you contracted.
2. License to use
CRMEX is proprietary software owned by Nweb and protected under the Mexican Federal Copyright Law. The software is licensed, not sold. On the Self-Hosted modality we grant you a non-exclusive, non-transferable license, with no limit on the number of users, to install and operate the packaged version we deliver to you on your organization’s infrastructure and for your own internal business purposes. The license over the version you already installed does not expire. We do not deliver the source code.
3. License restrictions
Except with Nweb’s prior written authorization, you may not: modify, adapt or create derivative works of the software; decompile, disassemble or reverse engineer it, except to the extent the law permits on a non-waivable basis; redistribute, resell, sublicense, rent or assign it to a third party; offer it to third parties as a service, multi-tenant platform or commercial hosting; or remove or alter any authorship, trademark or license notices. You retain the right to make the backup copy contemplated in article 105 of the Federal Copyright Law. These restrictions apply to the software: they do not affect in any way the ownership of your data, governed by clause 7.
4. Updates
Downloading the software for the Self-Hosted modality grants you the right to one (1) free update following your initial download. Access to additional updates requires an active Annual License, priced as shown on the pricing section of this site. The Annual License covers access to updates and support for its term; once it expires, you keep and may continue using indefinitely the version you already had installed, and simply stop receiving new versions.
5. Subscriptions, promotions and billing
The Hosted modality is billed in Mexican pesos (MXN) on a monthly basis (Monthly Plan) and the Self-Hosted modality on an annual basis (Annual License). Current launch promotions — the first 6 months at no cost on the Monthly Plan and 50% off the first year of the Annual License — apply to new customers; once the promotional period ends, the published regular price applies. Both renew automatically at the end of each period unless canceled beforehand. We may change prices with at least thirty calendar days’ prior notice, effective from the following renewal.
6. Cancellation
You may cancel the Monthly Plan or the Annual License renewal at any time. Cancellation takes effect at the end of the current billing period, with no prorated refunds. On the Hosted modality, we will provide a full backup of your information before terminating the service.
7. Data ownership
Any data you enter into CRMEX, in either modality, remains your exclusive property. Nweb claims no rights over such information, does not commercialize it, does not use it to train artificial intelligence models, and provides full export mechanisms in a standard, portable format.
8. Processing of data on your behalf
On the Hosted modality, the information you load into the CRM typically includes personal data of your customers and prospects. With respect to that data, you are the data controller and Nweb acts as data processor under article 2, section XII of the LFPDPPP: we process it solely on your behalf and according to your instructions. We undertake to keep it confidential under article 20, to maintain security measures under article 18, not to transfer it to third parties except on your instruction or by legal obligation, to notify you without delay of any security breach affecting it, and to return or delete it when the contractual relationship ends. As the controller, you are responsible for issuing your own privacy notice to your customers and for handling their ARCO requests. On the Self-Hosted modality we have no access to your data and this clause does not apply.
9. Acceptable use of the service
You undertake to use the service in accordance with applicable law and not to use it to upload unlawfully obtained information, send unsolicited communications in breach of applicable rules, compromise the security of the platform, or access other customers’ data. On the Hosted modality, breach of this clause entitles us to suspend the account; where the severity of the case allows it, we will give you prior notice and a reasonable period to cure. Non-payment may also lead to suspension of access, upon prior notice.
10. Availability
On the Self-Hosted modality, operation, security and availability of the infrastructure are the exclusive responsibility of the customer. On the Hosted modality, Nweb makes reasonable efforts to maintain service availability and to schedule maintenance during low-activity hours, without guaranteeing a specific uptime percentage unless otherwise agreed in a separate written agreement. We recommend keeping periodic exports of your information.
11. Limitation of liability
CRMEX is provided "as is". We are not liable for indirect damages, loss of profit or loss of opportunity. Our total aggregate liability is limited to the greater of: the amount you paid in the twelve months preceding the triggering event, or the equivalent of three months of the current Monthly Plan. This limitation does not apply in cases of willful misconduct or bad faith, nor to liabilities that under Mexican law cannot be limited or waived in advance.
12. Termination
We may terminate this agreement for your material breach or if we discontinue the service. In the latter case we will give you at least ninety calendar days’ prior notice so you can migrate your information. Upon termination of the Hosted modality you will have thirty calendar days to request a full export; after that period we will proceed to deletion, unless a legal obligation provides otherwise.
13. Changes to these Terms
We may update these Terms from time to time. Any changes will be posted on this same page along with the last updated date and, where the change is material, we will notify you by email at least thirty calendar days in advance. If you do not accept the new version, you may cancel before it takes effect.
14. Governing law
These Terms are governed by the laws of Mexico. Any dispute will be submitted to the competent courts in Mexico, with the parties waiving any other jurisdiction that may correspond to them by reason of their present or future domiciles.
